The Resilient corporate documents — 83(b), the Hellman FMV letter, and the May 2010 Series A consents

The account as dictated, preserved verbatim. Everything elsewhere on this site that derives from it is a distillation — and where the two differ, this governs.

Recorded 2026-08-25Five corporate documents from Hare's archive, received 25 August 2026, described rather than fully transcribed; documented grade. One redaction is absolute and noted: the 83(b) election contains the taxpayer's Social Security number and it is excluded from this record permanently, in every form. All sources
Provenance

Dictated by Jonathan Paul Hare in working sessions with Claude (Anthropic) and transcribed in-session. Lightly cleaned for typographic errors and false starts; wording, sequence and emphasis preserved. Not an audio transcript. Where the distilled page differs from the source, the source governs.

Editorial record

These documents settle most of the split. The original company's formal name is documented on its own letterhead: Resilient Networks, Inc., of 3040 Steiner Street, San Francisco — the threads-era company, in which Martin Hellman's IRA purchased $99,999.75 of Series A Preferred on May 17, 2006 (133,333 shares at $0.75), marked down to $0.33 by year-end 2008, with Hare still serving as Treasurer at that date. The successor's formal origin is documented in the 83(b): Emergent Networks, Inc., a Delaware corporation, with Hare's three million founder's common shares transferred July 17, 2008 for $3,000 — a founding valuation whose modesty is itself the bankruptcy-aftermath story in one number. The May 2010 Series A consents are titled simply RESILIENT, consistent with the rename to Resilient Network Systems having occurred between the 2008 incorporation and the 2010 financing; the Louis Woodhill investment of approximately $500,000 plausibly attaches to this round, pending Hare's confirmation. One date remains open across the set: when precisely Emergent Networks was renamed. The two-company structure asserted in S-113 and ruled in S-125 is hereby documented at its anchors.
