Jonathan Hare's account is that Brown, rather than Conley, dealt with the incoming Series B investor — on the reasoning that Conley as chief executive could not serve both Oak Hill's interests and Consilient's — and that he went back to that investor to substitute a full ratchet for the weighted-average ratchet Hare had negotiated.
